Nelo Terms of Service

Welcome to Nelo!

These Terms of Service (referred to as the “Terms”) lay down the rules that apply to your use of our video-focused platform — a digital space where users can find popular videos uploaded by creators, watch them, share them and browse all content free of charge — and they form a legally binding agreement between you and Nelo. When you access or use any of our platform Services, you confirm that you accept and will abide by every provision of these Terms. If any part of these Terms is not acceptable to you, you must stop accessing and using our platform Services immediately.

Important Notice

Please note that this agreement includes a binding arbitration clause, described in Section 18. With the exception of a small number of specific dispute types, such as claims involving intellectual property infringement, both you and Nelo agree to settle all disputes through binding arbitration, and both parties waive the right to bring or join class action lawsuits.

1. Eligibility Requirements

• Minimum Age: You need to be at least eighteen years old in order to register an account or to use Nelo’s complete set of platform Services. Some premium features, if they are made available later, may set a higher minimum age, and you will be told about this clearly when you first open the feature.
• Legal Capacity: Your use of Nelo’s services confirms that you have full legal capacity to enter into a binding agreement, to comply with all terms in this document, and to observe all applicable local, national and international laws and regulations.
• Entity Use Authorization: Where you access Nelo on behalf of a business or a government organisation, you confirm that you are fully authorised to bind that entity to all of the terms in these Terms.
• Minor Access Prohibition: Users under the age of eighteen are not allowed, under any circumstances, to register an account or to use Nelo’s platform Services. We may permanently close accounts that we reasonably believe are operated by underage individuals, and we are not required to give notice beforehand.

2. User License

• Personal Use License: Nelo provides you with a personal, worldwide, royalty-free, non-transferable license to access and use all of our platform Services — including finding trending user-submitted videos, streaming, sharing and browsing content — for their intended purposes only. This license holds good only as long as you continue to comply fully with all the provisions of these Terms.
• Automatic Updates: Our platform Services may automatically download and install software updates, for example fixes for video playback problems and newly launched features. You can disable automatic updates through the system settings of your mobile device.
• License Restrictions: Copying, modifying, selling, reverse engineering or sublicensing Nelo’s proprietary software and services is not permitted without the prior written consent of Nelo’s management team.

3. Content License to Nelo

• Ownership of Your Content: When you create, upload or share media — including videos, public comments, photos and captions, jointly referred to as “Your Content” — you keep full legal ownership of everything you contribute. In parallel, you grant Nelo a worldwide, royalty-free, sublicensable license to host, store, display, stream, format adjust (for example, optimising video resolution for different device screen sizes) and distribute Your Content. The license is used solely to support the operation, maintenance and improvement of our video platform, including making the videos you upload available to other users on the platform.
• License for Public Content: For media that you publish in the public parts of the platform, such as trending video feeds and public comment sections, you grant Nelo a perpetual, worldwide, royalty-free, sublicensable license to publicly broadcast, display, reproduce and create derivative works from that content. As one example, your uploaded video may be chosen for a curated “Top Viral Videos” compilation. Under this license we may also show your full name and profile image together with your published content, and no additional compensation is owed to you for this.
• Content Moderation Rights: Nelo is entitled to review, remove or modify any of Your Content at any time, for instance by deleting videos that violate these Terms. Even so, we are under no legal obligation to actively monitor all user-generated content on the platform. You are solely responsible for all Your Content that you post on Nelo.
• Advertising Consent: You agree that Nelo may run commercial advertisements across all platform Services, as the condition for your free access to video browsing and content sharing features.

4. Your Responsibility for Uploaded Content

• Full Liability for Content: You bear complete legal responsibility for all Your Content published on Nelo. You are required to make sure that your uploads do not infringe any third-party rights — including the copyright in background music used in your videos and trademark rights — and do not contravene any applicable local or national laws, such as laws against defamation or obscenity.
• Prohibited Content: You must not upload or share content that is illegal, harmful, discriminatory (based on race, gender, religion or other protected characteristics), graphically violent, sexually explicit, or that promotes harassment, exploitation or criminal activity. This prohibition also covers child sexual abuse material (CSAM), hate speech, and footage of illegal acts being committed.
• Reporting Violations: You can report illegal or inappropriate content, such as violent videos, through our built-in reporting tool or by emailing our official service inbox: [email protected]. Once a breach of these Terms is confirmed, our team may remove the violating content and suspend or terminate the accounts responsible.

5. Privacy of Your Data

The security of your personal privacy is a matter of the highest importance to our team. Our official Privacy Statement, accessible within the Nelo mobile application, explains in detail how we collect, use and share your personal data in connection with our video platform Services. Your use of any Nelo service constitutes your full consent to all data practices described in that Privacy Statement.

6. Prohibited Conduct

The following behaviour is prohibited while you are using Nelo’s Services:

• Harassing, threatening, intimidating or impersonating other users. Examples include posting abusive comments on other creators’ videos and pretending to be another person.
• Interfering with the platform’s security mechanisms, circumventing access controls, or deploying automated tools such as bots to scrape video data, inflate video view counts artificially or disrupt the normal operation of the platform.
• Distributing malicious software, spam messages or unlawful content through any part of our platform Services, including child sexual abuse material (CSAM).
• Employing Nelo’s features for commercial purposes without the prior written approval of our management team. Examples include selling physical goods through video comments and advertising external services.
• Violating third-party intellectual property rights, for instance by uploading videos that contain copyrighted music without permission or by circumventing the digital rights management (DRM) systems of the platform.
• Engaging in money laundering, fraud or the exploitation of vulnerable people, including any activity involving child sexual abuse material (CSAM), which is subject to a strict zero-tolerance policy.

Zero-Tolerance Child Safety Policy

Nelo maintains an absolute zero-tolerance policy towards all child sexual abuse material (CSAM) on our platform. Please report any material you suspect violates this policy immediately. Our team will remove all related content, suspend or permanently ban the responsible account, and cooperate fully with law enforcement authorities during any investigation.

7. Copyright Policy

Nelo fully respects the intellectual property rights of creators and rights holders. If you believe in good faith that content on Nelo, such as a video uploaded by a user, infringes your copyright, please send a written infringement notice to [email protected]. Your notice must include all of the following:

• Your signature, given physically or electronically.
• A full description of the copyrighted work that you claim has been infringed.
• The precise location of the infringing material, including the full video URLs or instructions for locating it within the app.
• Your complete contact details: name, postal address, telephone number and email address.
• A declaration, made under penalty of perjury, that you genuinely believe the material is being used without the authorisation of the copyright owner, its agent, or the law.

Registered users who repeatedly commit confirmed copyright infringement may have their Nelo accounts permanently terminated.

8. Account Rules

• Account Security: You are responsible for the security of your account login credentials, including the confidentiality of your password. You may not share your login information or access your Nelo account through unauthorized third-party software.
• Account Usage Rules: You may not create multiple duplicate accounts unless the official platform guidelines expressly allow it, sell or transfer your account, or reactivate accounts that were disabled because of policy violations.
• Reporting Unauthorized Access: If you notice signs of unauthorized access to your account, such as unknown videos uploaded without your action, contact our support team immediately at [email protected].

9. Content Moderation

• Automated and Human Review: Nelo relies on two review systems: automated content detection software that is designed to identify violent or sexually explicit video content, and trained human moderators who review all published content for policy violations. However, we are unable to guarantee that every type of prohibited content uploaded by users will be detected with 100% accuracy.
• User Reporting: You can flag inappropriate content, including harmful videos and spam comments, using our built-in reporting tool. Our moderation team aims to complete the review of every reported violation within 24 hours, and may remove violating content or impose temporary or permanent account suspensions after a policy breach is confirmed.

10. In-App Purchases and Payments

In the future Nelo may introduce optional premium features or virtual products, such as ad-free video streaming or access to exclusive locked trending content. If this happens:

• Transparent Pricing: All prices will be shown to you clearly before you complete any purchase. All payments will be processed by authorised third-party payment providers, such as the Apple App Store and Google Play Store.
• No Refund Policy: Except where the applicable consumer protection laws require otherwise, such as EU consumer regulations, every completed purchase is final and non-refundable. All subscriptions renew automatically unless you cancel through your app store account at least twenty-four hours before the next billing date. Cancelling your subscription does not give you any right to a refund for the unused portion of the current subscription period.
• EU Consumer Rights: Users resident in the European Union may request a full refund for subscription purchases within fourteen calendar days of the purchase. This refund right exists only where you have not accessed or used any premium features during that fourteen-day period.

11. Mobile Data Charges

You are responsible for all mobile data charges, text messaging fees and other telecommunications costs incurred while using Nelo’s Services, such as streaming videos or uploading videos over a cellular network. For details about data rates and billing, please contact your mobile service provider.

12. Anti-Slavery and Anti-Human Trafficking Policy

All forms of slavery, human trafficking and exploitation of vulnerable people are prohibited by Nelo. Suspected violations can be reported to our official email address [email protected]. Our management team will carry out a full investigation, remove all violating content, and cooperate fully with the relevant law enforcement authorities.

13. Anti-Fraud and Compliance

• Scam Prevention: Do not send money, share financial information such as credit card details, or enter into suspicious financial transactions with other platform users. Report all confirmed scams, such as users requesting payment through video comments, to our service inbox at [email protected].
• Anti-Money Laundering (AML) Compliance: To meet mandatory anti-money laundering legal requirements, Nelo may ask you for government-issued identity documents. If you refuse or fail to provide the identification requested, your access to your account may be temporarily suspended.

14. Service Changes and Account Termination

• Service Modification Rights: Nelo may add new features such as in-app video editing tools, remove existing features, suspend the service temporarily, or discontinue all Nelo services at any time, with or without advance notice. We will take reasonable steps to inform registered users about major changes to core services, such as the permanent removal of core video-sharing functionality.
• Account Suspension and Termination: Our management team may temporarily suspend or permanently terminate your account and withdraw all access to our Services in cases of confirmed violations of these Terms, prolonged account inactivity, or harmful user conduct, with or without prior written notice. Once your account is terminated, you lose all access to platform features, including your uploaded videos and any purchased premium services.

15. Indemnification

You agree to indemnify, defend and hold Nelo, its affiliated companies, directors, employees and authorised third-party agents harmless from every claim, damage, liability, cost and legal fee (including full attorney fees) that originates from your use of Nelo’s Services, from any Your Content posted by you on the platform (for instance, copyright infringement lawsuits triggered by your uploaded videos), or from any verified breach of these Terms.

16. Disclaimers

• As-Is Service: Every Nelo Service is made available strictly on an “as is” and “as available” basis, carrying no warranties of any kind, whether express or implied. We do not warrant uninterrupted service, error-free playback, or that all user-generated content on the platform is fully accurate and safe.
• No Liability for User-Generated Content: Nelo bears no legal responsibility for offensive, illegal or misleading content published by other users, including harmful videos and false comments. You use all user-generated content on the platform entirely at your own risk.

17. Limitation of Liability

Nelo and its partner entities are not liable, under any circumstances, for indirect, consequential or punitive damages. The total combined liability of Nelo for all claims is capped at the higher of one hundred United States Dollars (USD 100) or the total payments you made to Nelo in the twelve consecutive calendar months before the claim arose.

18. Binding Arbitration

• Dispute Resolution: Most disputes involving you and Nelo will go to binding arbitration rather than to court. The proceedings will be run by an arbitration body selected by mutual agreement, for example USIETAC, following the official procedural rules of that body.
• Class Action Waiver: Each dispute is arbitrated individually. This agreement does not allow disputes to be combined or pursued through class action lawsuits.
• Opt-Out Right: You may opt out of the binding arbitration clause within thirty calendar days of your first use of the platform Services. To opt out, email a written notice to Nelo’s management team at [email protected] or send it to the physical address provided in the Nelo mobile app. The notice must include your full name, the email address on your registered account, and a clear statement that you are opting out of the arbitration clause.

19. Intellectual Property Statement

Only original works created by the uploading user may be submitted to the Nelo platform as video content. The uploading user must own all intellectual property rights in the uploaded content, including but not limited to copyright, trademark, patent and trade secret rights. Registered users are barred from uploading or publishing anything that violates third-party intellectual property rights, including but not limited to the unauthorised copying, adaptation, editing or clipping of externally owned video, audio, text or image files. Once our moderation team confirms that content is infringing, Nelo may delete it permanently and may additionally seek full legal liability from the user responsible. Where Nelo suffers measurable financial losses directly caused by the infringing conduct, the responsible user is obliged to compensate Nelo for all losses.

20. Governing Law

These Terms are governed solely by the civil laws of the State of Delaware, without applying its conflict of law principles.

21. Severability

If a court with proper jurisdiction decides that a provision of these Terms cannot be enforced, that provision will be removed from this agreement while all of the other provisions remain fully effective.

22. Supplementary Terms

Separate supplementary terms may apply to certain platform features, such as official creator monetization programmes. You will see these supplementary terms when you first access the relevant feature, and accepting them makes them legally binding parts of this agreement.

23. General Terms

• Entire Agreement: These Terms of Service, together with our Privacy Statement and all supplementary feature terms, make up the whole agreement between you and Nelo and supersede every prior oral or written agreement.
• No Third-Party Beneficiaries: No third party, including other Nelo users, is given any enforceable rights under this agreement.
• Non-Waiver: Our failure to enforce a particular provision of these Terms on one occasion does not mean we give up the right to enforce the same provision later when a confirmed policy violation occurs.
• Assignment: You cannot assign or transfer your rights under these Terms without first obtaining written approval from Nelo’s management team. Nelo may assign or transfer its rights and obligations under this agreement freely, at its own discretion.
• English Language Priority: If any conflict arises between a translated version of these Terms and the original English version, the original English version is the only version that carries legal authority.
